Out there talking about the importance of metals and minerals, sometimes feeling like our advocacy was falling on deaf ears to see how quickly the world has pivoted on this issue and how this is now much better understood. You've also put a stop to pointless meetings. Was it a pointless meeting where you said enough is enough? I need to change this? Well, this has probably been a lifelong passion of mine. So I recognize how valuable time is. We say to people that we want to engage them better to make sure that their work is meaningful, that their time is better allocated, and that day to day they're able to pursue improvement. It should be no different for senior management. We have to have impactful meetings, and that means not holding meetings that we don't need to have, not having people in the meetings who don't need to be there because that's disrespectful to their time. And then for the people that are there, we have to ensure that the meeting is as efficient and impactful as possible. So we have very clearly set out requirements around meeting objectives, meeting preparation. You want everybody showing up at the meeting, having done the reading, well informed, able to bring their view to the table. And then we put in place a continuous improvement process around that where I get feedback on whether I've done a good job or a bad job where I've fallen short in my chairing of that process so I can then improve. One of the big debates right now is that do you tolerate tempers and people around you in the business world because it means passion or is it something that is not tolerated? If you mean somebody banging on the table and throwing objects, clearly not tolerated, should people be transparent about...

In some cases, it's been their own succession. As they leave their role, I always like to get their reflections on things as new CEOs take up the role. For example, when I first was appointed CEO, one of the very gratifying things that I hadn't recognized was that a lot of other CEOs reached out and provided a bit of coaching or said, 'Welcome to the club.' You know, we've all been through this experience. If there's anything we can help you with, I try to do that with others as well. I've had discussions on succession, sometimes prompted by me, sometimes prompted by them, about the topic or the concept of succession, and how we go about building capability in BHP with CEOs from many other industries. So what's the guiding thought on leadership? I mean, if somebody were to be appointed chief executive today and you called them, what do you tell them? It would, of course, be around some of the things we discussed about being clear on strategy, aligned with the board, and keeping your strategy consistent. Don't get blown off course. I think most people stepping into the CEO role would know that. What I think sometimes CEOs would be at risk of missing is the importance to long-term success of how you go about engaging and enabling your people. And doing so in a way that isn't reliant upon the CEO of the day or the management team of the day, embedding in the company's DNA a culture and an approach to how you go about leading your people, enabling your people that's.

When I spoke to Mike Henry in January, there had been rumors circling that after six years, he was preparing to step down. Since speaking, those rumors proved to be true, and he plans to hand over the reins on July the 1st. Knowing that his departure could be soon, I wanted to hear more about how he handles the day-to-day, while also preparing for succession. What do you hope your successor can learn from the last six years? My successor is going to have the opportunity to learn from all of the work both of my time in role as well as from the long arc of BHP's history. I imagine it's difficult, right, thinking about succession. One of the most important roles for a chief executive is to make sure that you think about succession, but also it's difficult to figure out the time to go. Well, so interestingly day one, literally day one, as in when the board made the decision to appoint me into the CEO role, my chair at the time sat down with me and said, succession starts now. And it was made super clear to me that one of my biggest accountabilities was developing that next generation of leaders. So that's always been front and center for me. It's hard though. Is it hard? Of course, it's hard. In particular, if you become complacent and take your eye off the ball and you don't continue to invest in people and giving them different roles, expanding roles, and if you're not providing them with the right support. We wanted to grow in how we thought about M&A, the sort of assets that we were willing to acquire. Where you get into trouble is if you're not clear on what your strategy is, or you start chasing after a deal to get a deal done, or because you don't have all alternatives. So you almost have to set that strategy as soon as you take over. You don't want to be setting strategy in the middle of a transaction, that's for sure. Assumptuous exchange strategy. Why do you think that is? Well, when a business isn't performing well, or when the world is changing in a way that demands a rethinking of strategy, of course, then the CEO should get in and rethink it. But with ours, we remain confident in the strategy that we have and in the commodities that we've chosen. That's bold, isn't it? It's kind of like sticking to strategy. You have to be bold in these roles. It's kind of an informed boldness. Our sector is such a dynamic important sector that if you're not bold, that's where companies go off course or they fail over time. And so when I stepped into the role, I told myself I needed to be bold. But I also like the fact that it's no regrets because otherwise you could procrastinate about things that you could have done differently or you should have done. So we faced, I mean, this was a key point that we faced in the second approach to Anglo. Some people would say, well, do you really want that to be seen in public again, the second time? And of course, you don't want it.

No, not at all. In fact, the board and I have been very, very deliberate about crafting a BHP strategy that would never be dependent on M&A. If you look back at the history of not just BHP, but big companies in the sector, one of the lessons is that when a company gets boxed into a corner where it has to pursue M&A, that leads to all sorts of untold problems. And so we've been very deliberate about saying, first and foremost, we have to be able to get more out of the resources that we have. And that then enables us to be quite discretionary about whether we want to pursue an opportunity. So when we backed away the first time, we said our prime focus is this: when we spotted a further opportunity or where the question arose for whether we should approach again, it was the same attitude. We don't have to, but because we believe there's value to be created for shareholders, it's almost incumbent on us to make an approach. And if there's not a meeting of minds, then fine, we know we've got a great strategy in our own right, great growth ahead of us in the right commodities. So we'll stay focused on that. Do you think there was a way of getting it? I don't know, with our soft power. You know, the critics say that actually they had spent more time. You didn't want the South African operations right of Anglo, but had you spent more time in reassuring them or spending more time with the Australian shareholders, maybe something could have moved more in your direction. You're prepared to buy at any price. If you get worried that failing or being rejected on a transaction becomes a reputational issue, you end up in very deep water and can cause yourself all sorts of problems. So we went into both approaches with a clear sense of we will only do something that we believe creates value for BHP shareholders. If we can't see that, then we'll step away. How did it feel at the time? You approach those things with a sense of optimism, a sense of pressure, but coming away from it, momentary disappointment, but alongside that, the confidence that we've done the right thing by way of shareholders and confident that we've made the right decision. How did you manage through it? You still have staff that you need to speak to, morale that you need to boost or at least keep steady? We've got such a professional team, and it's perhaps a little bit less disruptive inside than people might think, looking outside in. People are very clear that they like the boldness. The fact that BHP is willing to back itself and go after opportunities when it spots them is motivating for people. They also like the fact that we are super disciplined and that we're confident enough in ourselves and our existing strategy and our internal growth options to back away if we don't think that we can create value for shareholders. How much time do you have to spend on that? So was it all-consuming? No, unfortunately, when you run a business like BHP, you have to be able to walk.

We all needed to take in the face of the uncertainties that COVID brought. The impact I and the team have had on the organization over the past six plus years has reshaped the BHP portfolio. At the time, we had about 80% of our EBITDA being generated by a combination of oil and gas, thermal coal, coking coal, and iron ore, steel-making raw materials in a world where, over the long arc of time, we should expect the world to decarbonize. We're going to see peak steel in China, beyond which we'll start to see the iron ore market shrink. So we need to make sure that we have a portfolio that is fit for the future. We've spun out our oil and gas division and have reduced the size of our coal portfolio, now only focusing on the best coals for steel-making. We changed the listing; we collapsed the listing into one. We had a bit of a funny structure called a dual-listed company with two primary listings and two head offices, and collapsing that was a big value unlock for shareholders. We've grown markedly in copper and potash. We've grown copper by 30% over the past three years; we're the world's largest copper producer. In addition to that, we've improved operational excellence. We've gone from being a laggard in the sector to being best in class from an operational perspective. You also sanctioned Janssen, right? Did you feel the need to go at speed? Who were you listening to? Was it your gut or other people? I've learned to rely more on gut over time, but these were all very well thought through. For most of that time, nobody really wanted to talk to miners. It was not seen as being an industry of today, perhaps. But what we've seen over the past three or four years is this awakening to the importance of metals and minerals. Policymakers are now trying to figure out how to secure critical mineral supply chain resilience. Is there going to be enough copper? How do they facilitate that? Mining has gone from a back burner industry to now being front and center of some of the big conversations happening globally. But how do you respond to being in this moment? Is it a lot of pressure? Do you feel responsibility, or is it only with hindsight that you realize how crucial this period will be? No, no, no. I and others definitely recognize how crucial this period is. To the extent that there's pressure, it's well more than offset by the opportunity. If you look at copper, for example, copper demand is going to almost double over the next 25 years because it's needed for the broader economy, the energy transition, and the AI revolution. Yet copper is becoming harder and harder to find. People are now realizing that if we don't do anything, we're going to see super high copper prices or shortages at given times. Policymakers are now weighing in with industry to figure out how to ensure that doesn't happen. Can you tell me about a meeting where you felt all of that coming together? I always learned something new with my mum. In my family, she's the real politician, and she's a natural. My father was an intellect; he was a statesman. We always said that he lived in his head. He was a very deep thinker, and that's where I learned. My mother, on the other hand, has this uncanny ability to connect with any kind of person. Any person she runs into in the street, president or childhood friend, she doesn't know how to fight; she's very bothered by conflict. What was it like starting all over again? One day you're in a big company with a big parent, and then you have to start all over again. It was really exciting and invigorating. I felt like a young kid again when I started Jones Road. Right before we launched, I definitely had a sudden emotion of saying, 'Oh, what if I'm a one-hit wonder?' I was a little scared, but then I just threw it up into the wind and went for it. Jones Road, where did that name come from? Well, I sold the rights to Bobby Brown to Estee Lauder when we sold the company, so I couldn't use it again. We needed a name because I wanted to launch Jones Road the day my 25-year non-compete was up. I needed a name, and I didn't have one, and I was driving to the Hamptons with my husband.

I give myself around a year after my hip surgery to see if my body will come back or if my hip will return to the normal position like before the surgery. After a lot of weeks trying, practicing, and competing without feeling comfortable on court and realizing that with that hip I will not fight again for the things that really motivate me, I ask myself, what's the moment to say, 'Okay, I am done. I need to stop?' People around you were advising that maybe it was the right time to retire. Did you feel like you retired on your own terms, that it was really your decision? Yeah. I mean, he's quite young, so that's not a big specific commitment. But I think there will be quite a lot of focus on that. But yeah, he will try. He will be very nice to Trump. And when they have one of their famous meetings on that White House sofa, I think he will manage that absolutely fine. Steve, finally, he clearly has the support of scores of MPs on his own side. We could see that the moment he walked into Westminster, and they were all gathered there to receive him. But we also know that this is a pretty fickle group of MPs, isn't it? Like a lot of them were elected two years ago. They turned on the man who led them to that victory pretty swiftly. Do you think that could be something he can't take for granted, having his own MPs on side? You try to do something big. There's loads of people who come to you and say why you can't do it. Yeah. For viewers and listeners who don't know, he arrived in Parliament the Monday after he won this by-election, and hundreds of Labour MPs gathered to be photographed with him. And I saw some of those Labour MPs and I thought, I'm tempted to tell Andy Burnham what they were saying about him just months ago. They weren't all avid fans.

Interesting in the by-election. Nigel Farage was there quite a lot. And I've always thought what a great communicator he is. He has the knack of appearing to have a conversation, although I think he was a bit rude to you famously, I think, when you interviewed him. But in that by-election, a bit like actually when he was with you, I thought he looked ill at ease somehow in his slightly old-fashioned double-breasted suit. He couldn't hide the fact that he was uneasy about their choice of candidate. And I thought, is he such a brilliant communicator? Nigel Farage has got this continuing relationship with Donald Trump. And of course, one area in which Andy Burnham is completely untested is foreign policy. How do you think he'll fare? Well, how will he deal with Donald Trump? Let's just get to that. Yeah, Trump's already been quite dismissive. Yeah, very, very a mayor of a town. Yeah. Yeah, very dismissive about who he sees as a rather pathetic figure. It's not at all unusual for a British Prime Minister new to the job to have no feel for foreign affairs whatsoever. That applied to Margaret Thatcher, who formed a very close relationship with Reagan. It applied to Tony Blair. We've talked about how foreign affairs sucked him up. America, Clinton, Bush, Iraq, Europe, none of them came in with any feel whatsoever foreign affairs and then foreign affairs absolutely sucked up their energy and attention.

Those who are conscious all the time need to be in a never-ending dialogue with voters. His social media videos are brilliant. It's going to be quite challenging. So devolution, his big theme, is a quite dry topic, so he has to make it exciting. The big test of his teaching capacity is to come. But the great election winners and those who remain in power for a long time are political teachers. So there's one philosophical point which I'm struggling with in the Burnham philosophy, as we seem to understand it: he has this instinct to move power away from the centre, to devolve, to give more power to local areas in whatever configuration they take. But you then also don't have less control on the ultimate result. If you really want to transform the state into this productive state, doesn't that require a command and control? It's a big complex idea. You're essentially sort of outsourcing it to local politicians. You've brilliantly captured the risk; talk about risks and the dilemma. And this is why devolution is much talked about and rarely happens, that you, as a new prime minister, want to show that you are making a difference. If you give away that control to local areas, genuinely giving it away, handing out money from the centre and saying over to the government.

In your book, the Prime Minister, you have a very useful checklist for if the country is looking to elect a Prime Minister, he or she must have the following qualifications. And the first one you put on the list is he or she must be a political teacher. Yeah. Which I thought 'teacher' was a really interesting word to use here. Yeah. What do you mean by it? And is Andy Burnham a political teacher? Yeah, a political teacher is absolutely essential because policies erupt around voters all the time. And what many aspiring leaders forget to do is explain why they are doing what they are doing. And more widely, you have to then explain how that policy fits into the rest of your government's policies and then frame an overall sense of purpose and mission. And teaching can take kind of many different forms. President Trump is a teacher in his own way and his mastery of social media in his hunger to be the main commentator on his own leadership. We have been in semiconductors for 20 years, and we have accumulated a portfolio of about 17 semiconductor product divisions in specific core areas. Does the AI revolution sort of temper the need for you to supplement growth using mergers and acquisitions? Are you kind of entering a post-M&A phase or is that the wrong way to think about it? You hit it right on top and it's an interesting question. It's a very valid question because it crossed my mind and that of my board on an ongoing basis not regularly as do we do M&A? So I'll be very flip and give you a straight answer in the last two years I've been doing 24 in 26 this year. I would be doubling my revenues. I would create over $50 billion per year annualized on revenue. I'm looking around, what can I buy? They even come close to that. And that's the tricky part. I mean, it's a distraction. All M&As are a distraction to acquire, go to regulators, a further distraction to integrate. Another year. Meanwhile, organically, this phenomenon, we call generative AI and our ability to ship them pics and shots.

But that's actually a really interesting lens into the startup market because I have exposure every day to what software we're using that works. What are the strategic challenges that we're encountering as it pertains to the rise of AI? Like, these are questions that I'm dealing with on the company level. And so when I have the ability to interact with other startups, I think I have the ability to kind of identify areas where, wow, that would actually be really helpful. Or I've seen three or four other things that approach in a way that I think is better. The firm has 12 investing partners. Could you just explain how it works with PETA? PETA right now is in Argentina, but does the firm do the classic Monday morning meeting thing? Does he zoom in? Are you constantly the 12 of you talking to each other? I think people, there's still a mystique there about how it actually works. I'll be honest, there's still a mystique to me. I'm not really sure how it works either. We don't do Monday meetings. Why don't we do Monday meetings? It's not because we're lazy. It's because when you create a process, a tracking system for how you move something from step one to step two to step three, you end up making relative rather than absolute judgments. So you're like, well, this is the best company I met with this week. So I'm going to bring it to the partnership. And then they say, well, this is the most interesting company that we as a fund have seen this month. And so by the time it gets to the end of the process, you're like, well, it's made it this far. Maybe we write a small check. There's just not a lot of conviction that's built into that. We have created a ton of friction in the process of getting a deal through because we have no.

Observe wire cutoffs, and they're also going to need to do things like micro payments globally instantly. Think about querying an LLM. Think about the kinds of things that they're going to be able to need to do, and we're talking about agents; we're not even talking about sub-agents. So that's one area and one category where there's a really big intersection. And then the second area where there is a large intersection between what we've been doing for the last four years and where we see the world going. I have four words for you: privacy, identity, reputation, and provenance. And what do I mean by provenance? I mean, where did something come from? It's the who, the what, the when. This in an age of AI is already important today in the digital world. But in an age of AI, provenance, we think, is going to become even more important. And it turns out that some of the blockchain-based technologies and distributed systems have been looking at this. This is the technology story, not the market story of digital assets. Blockchains are actually pretty good distributed immutable systems for proving provenance, for proving when something came into existence. This is really important in an age of AI. So too, I think, is privacy really important in an age of AI. And folks in the cryptography field have been working on technologies like zero-knowledge proofs. And it used to just be people in the digital asset space that were talking about zero-knowledge proofs.

Of development already now, then I see very little future possibilities that we can get this right in the future when AI systems are even more capable. And so I think the more likely path and more durable path to advance AI in a way that enables and advances civilization is by keeping humans in the loop for as long as we can and really making sure that this period is actually very meaningful. Talk me through your vision for how ultimately agents will reach all of us. We really believe that people are probably going to have one, maybe two, maybe a small handful of agents that they rely on, and maybe they have a personal agent that's focused on things like their health and maintaining their personal relationships and helping them be a better parent and be better with their friends and family. I think this is an important moment for us generally as a society to say, what are the lives that we want humans to be able to live, and how do we work closer towards that future? Potentially wipe out half of all white-collar work. Do you agree with that? And if so, what's the solution? I don't necessarily think we know the future. So exactly what the type of disruption that might happen a year or three years or five years from now is unknown. I do think it's important for companies to be open about and study what we're seeing today, which is part of why we publish our societal impacts research. We say, hey, here is how people are using AI. Is it displacing jobs? Is it supplementing jobs? What we found so far is that in 2025 and 2026, replacement is a tiny, tiny, tiny fraction of what AI is doing. Evaluation back in February, the first menopause company to do so. I was around in my late 40s. I was suffering from anxiety and heart issues and gaining weight, all the things. I went to a primary care provider, and that primary care provider sent me to therapy. They gave me a sleep test and said that I had perhaps sleep apnea. They also gave me an anti-depression medication. So I eventually, after about a year, found a concierge doctor who was a specialist in women's health, and within two weeks, she cleared up all of the issues that I was experiencing. We're sending people to get colonoscopies; we're sending people to get blood tests, but we're basically creating a care layer of expert women's health providers. We removed black box warnings that were not supported by the data and we described the profound short-term and long-term health benefits that ultimately are good for public health. I think there's a lot of relief because so many women who are experiencing the symptoms are really relying on the FDA to tell them if they should be taking HRT or not are now going to see that they should access HRT and have the care that they deserve and need. Under Here in McCary, the FDA's move helped to advance a medical conversation stunted by stigmatization over the past two decades. Just in the past five years, progesterone-containing HRT prescriptions for women aged 45 and older have more than tripled, and prescribing rates have increased more than 19 percent since the FDA's label change. In the past, this was a taboo topic. Women would be embarrassed to talk about it. If they brought it up with their doctor, they would sort of be dismissed. And now you're seeing a national conversation emerge where very respected leaders around the world are saying, look, when I go through menopause in the next few years, this is what I intend to do. Or this has changed my life. So the more I sort of tried to connect with people and not get the reaction that I wanted, which was compassion and comfort, it just sort of made me retreat further. It really took 10 years and probably entering into my 50s for me to own that and say, I'm in menopause. I need help. Why do you think menopause has become a consumer category now in the mid-2020s? I think it's in large part thanks to women like Naomi, who have kind of come out of the shadows and shouted from the rooftop and said, no more. Watts eventually turned her experience into Stripes, a wellness platform aimed at women in perimenopause and menopause. Kara Kamenev is the CEO of Stripes. How do you build a women's wellness brand that empowers women without monetizing on everything that they might be feeling? This is a pro-aging brand and it was born that way. It wasn't changed to be that because it became trendy. This was born out of like a very personal moment of like, I need care, I'm not getting care. And at the same time, we don't want to change who women are and we don't want to lie to them. We do see a lot of kind of legacy brands in the industry who are changing tune, you know, for years, all of the products said, you raise time, turn back the clock. They call these age spots. Or the ads had, you know, 25-year-old women and they were purporting to erase 25 years of time. And it was just ridiculous. That's never really been.

There are 75 million women in the U.S. today going through menopause. Just by comparison, there are only 400,000 IVF cycles in the U.S. today. That doesn't mean IVF is a bad place to invest; it just means the solutions have to be relatively expensive for the market size to be venture-backable. Whereas in menopause, even a relatively low-cost solution, if it's effective, can have a venture outcome. For Naomi Watts, that market gap started as something very personal. At the age of 36, the Oscar-nominated actress was at the precipice of fame, starring in films like Mulholland Drive, The Ring, and King Kong. Then she received an unexpected diagnosis. I wasn't getting pregnant, and so a friend said, 'Why don't you go to your doctor and get a blood panel?' I was like, 'What's a blood panel?' I really was so clueless. She said, 'Check your hormones.' I went, 'Okay.' So my gynecologist did exactly that, and he then told me the results were looking like I was close to menopause. That diagnosis collided with an industry that has often treated aging women as expendable. There are many times you are told that, you know, you get to a certain age and you're not sexy anymore. And this was told to me.

Investors do have one really important tool at their disposal. If they don't like what's going on, they can sell the stock. That's their point of leverage. Retail investors, to be quite honest, don't have much of a say anyway because most of them don't have enough voting power to make a difference. So should they care? Sure, because there should be some forcing functions on management teams to remember that they have sold stock to the public in return for committing to run the business like a public company. Ultimately, it will be for markets to decide whether that balance of power is fair for all shareholders or tilts too far toward the founders. As always, the markets speak most loudly through the value put on the stock. And at least at the beginning, Elon Musk is not facing too much pressure, given SpaceX's initial market cap of over $2 trillion. To whatever value you estimate and you attach to the business prospects of SpaceX, you need as an investor to discount it significantly because of the governance flaws. Did the market provide such an adequate discount? We cannot tell from what we see in the market, but I think it would.

Actually, I would rather say that many people trying a Tesla are maybe a little bit embarrassed about it. So I've been here for nine years now, and I have never experienced in my nine years as CIO so many scheme members coming back to me with positive comments from a single investment decision as I experienced in the wake of the exclusion of SpaceX. What do you look for in governance, either to have or to avoid as you make investments? We hold good governance very, very highly. We think it's extremely important in order to assure accountability and transparency and sound decision-making. Good governance, to us, really lies at the core of the trust that we need in public markets. One share, one vote. The distribution of power should be proportional to the money invested. We have the separation of power between CEO and chairman of the board. We don't like that to be the same person. We think that creates a risk of poor decision-making and excessive risk-taking. Finally, the third principle is independence. We want an independent board. Do you see a trend, or are you concerned about a trend, with the success of SpaceX that other companies may not be able to make?

Yes, David, here you are completely correct. Furthermore, the governance structure that entrenched control in the hands of whoever has the B shares is indefinite, which means that if Elon Musk or when Elon Musk passes away we are all mortal, then investors cannot rely on Musk's shares or whoever manages the trust through which his high voting shares are held, that they would be the most fitting leaders. And then there's the question of how to ensure that a superstar CEO remains fully committed to the company over which he has nearly complete control. Something that's been an issue before for Mr. Musk at his other venture, Tesla. The dual-class structure provides a safety net for those investors who want to let management make the decisions they deem will work out best in the long run without fear of losing their jobs if, in fact, there's a short-term hiccup. The dual-class share structure gained prominence with Ford's landmark 1956 IPO, allowing the Ford family to retain control even as the number of public shareholders grew. A similar two-class model was adopted by some media companies like The Washington Post, The New York Times, and Fox. But what was once the exception is rapidly becoming the rule today.
